Terms and conditions

These terms apply to every quotation and agreement between Digital Products Bureau (Glenn Moris) and the client, unless something else has been agreed in writing.

Quotation and fixed price

Every proposal contains one fixed price, a fixed delivery date and a clear list of what is included. The price in the proposal is the price on the invoice. A proposal remains valid for thirty days.

Deposit and payment

Work starts after payment of a deposit of 40 percent. The balance is invoiced on delivery. Invoices are payable within fourteen days. In case of late payment, the statutory late-payment interest applies, together with a fixed compensation of 10 percent with a minimum of 75 euros.

VAT and reverse charge

Digital Products Bureau is established in Switzerland and has no Belgian establishment. I therefore invoice without Belgian VAT. For services to a client who is liable for VAT in Belgium, the VAT is shifted to the recipient under Article 51, §2 of the Belgian VAT Code. In practice this means the following: you receive an invoice without VAT, you declare the VAT yourself in your periodic return, and you deduct that same amount in the same return. For a client liable for VAT, the reverse charge is therefore cost-neutral. For that reason, all prices on this site exclude VAT. If you are not liable for VAT, different rules apply; I discuss that in advance, so you know what you will pay before you sign anything.

Fixed scope and revision rounds

What is in the proposal is the agreed scope. Presence includes one round of revisions, Booking and Shop include two. A round is one bundled list of changes to the delivered work. If the client asks for work outside the scope, that work first receives a separate fixed price; nothing is ever tacitly added to the invoice.

What the client provides

The client provides texts, photos and logo, unless agreed otherwise. The delivery date is counted from the moment all material has been received. If the client provides material later, the delivery date moves back accordingly. The client guarantees that the material provided does not infringe the rights of third parties.

Delivery and ownership

After payment of the final invoice, the rights to the delivered website pass to the client. Domain, hosting and files are in the client's name, also when the client does not take maintenance with Digital Products Bureau. Digital Products Bureau may show the delivered work as a reference, unless the client refuses this in writing.

Maintenance

Maintenance plans run per month and can be cancelled monthly, without a cancellation fee. After cancellation the client receives all access and files, and the website simply remains the client's. Costs of external services (such as a booking system) are paid by the client directly to that supplier.

Liability

Digital Products Bureau carries out the work carefully and professionally. Liability is limited to the amount of the assignment concerned. Digital Products Bureau is not liable for indirect damage, such as lost revenue, or for outages at external services such as hosting or payment providers.

Applicable law

Belgian law applies to every agreement, even though Digital Products Bureau is established in Switzerland. Disputes are submitted to the competent Belgian court. Mandatory provisions of consumer law continue to apply in full.
